This Instrumental Licensing Agreement ("Agreement") is entered into as of the date of purchase ("Effective Date") by and between:

Producer: Sho, also known as "ProdSho," "prodsho," or "showiddasax" ("Producer"), and

Buyer: The artist or individual ("Artist") purchasing the instrumental through the website Apollo Atelier ("Platform").

WHEREAS, the Producer is the creator and owner of certain musical compositions and instrumental recordings ("Instrumentals"); and

WHEREAS, the Artist wishes to license the Instrumentals for use in accordance with the terms set forth herein;

NOW, THEREFORE, the parties agree as follows:

1. Grant of License

1.1 License Type: Upon payment, the Producer grants the Artist a non-exclusive, non-transferable license to use the Instrumental purchased via Apollo Atelier.

1.2 Permitted Uses: The Artist may use the Instrumental for:

• Recording and releasing original musical works ("Songs");

• Distribution of Songs on streaming platforms, digital downloads, and physical formats;

• Promotion via social media, music videos, and performances.

1.3 Restrictions:

• The Instrumental may not be resold, sublicensed, or redistributed in its original form.

• The Artist may not claim ownership of the Instrumental's underlying composition or production.

2. Ownership

2.1 The Producer retains all rights, title, and ownership of the Instrumental and its underlying composition. This Agreement only grants a license to use the Instrumental as outlined herein.

2.2 The Artist shall provide credit to the Producer as follows:

• "Produced by Sho AKA ProdSho AKA prodsho AKA showiddasax" in all relevant metadata, liner notes, and public releases.

3. Payment

3.1 License Fee: The Artist shall pay the specified fee for the Instrumental at the time of purchase through Apollo Atelier. This fee is non-refundable.

3.2 Additional Fees: Any additional services or customisations requested by the Artist may incur separate fees, as agreed upon between the Producer and Artist.

4. Term and Termination

4.1 Term: This license is effective as of the Effective Date and remains valid indefinitely unless terminated as outlined herein.

4.2 Termination: This Agreement may be terminated if the Artist violates any terms of this Agreement. Upon termination, the Artist must cease all use of the Instrumental.

5. Indemnification

The Artist agrees to indemnify and hold the Producer harmless from any claims, damages, or liabilities arising from the Artist's use of the Instrumental.

6. Limitation of Liability

The Producer shall not be liable for any indirect, incidental, or consequential damages arising from this Agreement.

7. Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the jurisdiction in which the Producer resides.

8. Entire Agreement

This Agreement constitutes the entire understanding between the parties and supersedes all prior agreements, whether written or oral, relating to its subject matter.

By purchasing the Instrumental through Apollo Atelier, the Artist acknowledges and agrees to the terms outlined in this Agreement.
